TERMS AND CONDITIONS

These Terms and Conditions govern www.AirMedical.com and related online features (the "Website") and state the general terms for medical transportation arranged by Ambulance USA LLC d/b/a Air Medical Transport ("AMT," "we," "us," or "our"). Part A applies to Website use. Part B applies to transportation requests and Trips. Part C contains general legal terms. Each Trip is governed by its accepted Transport Contract, which controls if it conflicts with these Terms. Our Privacy Policy and, when applicable, Notice of Privacy Practices also apply.
A) WEBSITE TERMS OF USE
1. Acceptance and Updates
By accessing or using the Website, requesting a quote, submitting information, or making a payment, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Website.
You must be at least 18 years old and legally able to enter into a binding agreement, or authorized to act for the Patient or another person or entity. Information you submit must be accurate, current, and complete.
We may update these Terms by posting a revised version with a new "Last updated" date. Changes apply prospectively unless law requires additional notice or consent.
2. No Emergency Service or Medical Advice
The Website is not an emergency-response service. For a medical emergency, call 911 or the appropriate local emergency service.
Website content is general information, not medical advice, and is not a substitute for professional evaluation, diagnosis, treatment, or transport clearance.
3. Website Use and Intellectual Property
AMT grants you a limited, personal, non-exclusive, non-transferable, revocable license to use the Website for lawful, noncommercial purposes related to evaluating or arranging AMT services.
You may not copy, republish, sell, license, frame, mirror, disrupt, compromise, or unlawfully use the Website or its content; impersonate another person; submit false information; use another person's credentials without authority; or scrape, extract, republish, or train a model on Website content except as permitted by AMT's robots.txt, crawler directives, applicable law, or written consent.
The Website and its content are owned by or licensed to AMT and protected by United States and international intellectual-property laws. AMT's registered marks include Air Medical Transport Worldwide® (U.S. Reg. No. 7,201,853), Ambulance USA® (U.S. Reg. No. 6,060,790), and Ambulance USA Medical Transportation® (U.S. Reg. No. 6,115,115). No right to use AMT's names, marks, logos, or trade dress is granted without prior written consent.
4. Website Content, Quotes, and Images
Website information, estimated pricing, and quote-request tools are invitations to request services, not binding offers or guarantees. AMT may correct errors and modify or discontinue Website content or features at any time.
Website images are staged and illustrative only. They do not identify or guarantee the aircraft, operator, crew, equipment, configuration, timing, routing, or services for a specific Trip.
5. Privacy, Payments, and Third-Party Services
Our Privacy Policy explains how information is collected, used, and disclosed. To the extent HIPAA applies to AMT, Protected Health Information is handled under applicable law and AMT's Notice of Privacy Practices.
Payments and other Website functions may be provided through third parties identified at the point of use. Their terms and privacy practices apply. AMT does not control or guarantee third-party systems, availability, security, or performance.
6. Website Disclaimer, Indemnity, and Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND ITS CONTENT AND FEATURES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT EXPRESS OR IMPLIED WARRANTIES, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, SECURITY, AVAILABILITY, OR ERROR-FREE OPERATION.
You will defend, indemnify, and hold harmless AMT and its affiliates, owners, officers, directors, employees, and agents from third-party claims, losses, liabilities, costs, and reasonable attorneys' fees arising from your unlawful Website use, material breach of these Terms, unauthorized submission of information, or violation of another person's rights. This obligation does not apply to the extent caused by AMT's gross negligence or willful misconduct.
AMT and its affiliates, owners, officers, directors, employees, and agents will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from Website use or inability to use the Website. For a claim arising solely from Website use, AMT's aggregate liability will not exceed the greater of USD $100 or the amount paid to AMT for the specific Website service giving rise to the claim. These limitations do not apply to AMT's gross negligence or willful misconduct or to liability that cannot lawfully be limited.
B) GENERAL TRANSPORTATION TERMS AND CONDITIONS
1. Scope and Contract Priority
These terms apply to medical transportation arranged by AMT unless the accepted Transport Contract states otherwise. The Transport Contract and expressly incorporated Trip documents govern the specific Patient, itinerary, services, equipment, timing, and price.
"Client" means the person or entity identified as the client, purchaser, or financial guarantor that accepts the Transport Contract. "Patient" means the person to be transported. "Provider" means an independent air operator, ground provider, medical provider, crew, or other contractor involved in a Trip. "Trip" means the transportation and related services described in the Transport Contract. "Dispatch Time" means the scheduled time the aircraft departs to position for the Trip.
2. Acceptance and Financial Responsibility
A binding agreement is formed when the Client signs or electronically accepts the Transport Contract or AMT accepts another documented confirmation. From that time, AMT and Providers may reserve resources and incur nonrefundable costs, and the cancellation terms apply.
The Client accepts financial responsibility for all amounts due under the Transport Contract. Any person or entity that accepts as a Client, agrees in writing to be financially responsible, or signs a payment guaranty is jointly and severally liable for amounts due, subject to any written limitation accepted by AMT. A representative warrants authority to bind the identified person or entity.
The Client authorizes AMT, subject to the payment authorization and applicable law, to collect the quoted price, cancellation charges, additional charges, and other amounts due. Payment alone binds a payer only to the payment authorization unless that payer also accepts as a Client or guarantor.
3. AMT's Role and Independent Providers
AMT identifies, organizes, coordinates, and arranges medical transportation according to the accepted Trip requirements. Unless the Transport Contract expressly states otherwise, AMT is not the direct air carrier, ground carrier, or direct medical provider and does not exercise operational control over aircraft or vehicles or clinical control over patient care.
Flights are performed by independent carriers holding applicable FAA Part 135 authority, a European Air Operator Certificate, or equivalent authority for the intended operation. The itinerary identifies the assigned aircraft tail number. If the aircraft changes for safety, maintenance, availability, regulatory, or operational reasons, AMT will provide the replacement tail number as promptly as reasonably practicable.
Providers are independent contractors, not AMT employees. Air operators retain operational control of their aircraft and flight crews; ground providers are responsible for their vehicles and personnel; and medical providers are responsible for clinical judgment, patient care, medical personnel, and medical equipment. Each Provider is responsible for its own acts, omissions, licensing, regulatory compliance, services, and operations. AMT is responsible only for obligations expressly undertaken by AMT.
4. Transport Authorization and Health Information
By accepting the Transport Contract, the Client requests and authorizes AMT to arrange the Trip and acknowledges that AMT and involved Providers may use and disclose Patient information as reasonably necessary for evaluation, coordination, treatment, payment, health care operations, safety, insurance, regulatory compliance, and other purposes permitted or required by law.
The Client represents that the Client is the Patient or is legally authorized to act for the Patient and must provide current medical records and accurate, complete information concerning the Patient, Trip, passengers, weight, baggage, travel documents, payment, and receiving facility. Material changes must be disclosed promptly.
5. Pricing, Quotes, and Additional Charges
Full cleared payment in United States dollars is required before aircraft dispatch unless AMT agrees otherwise in writing. The Quote states the standard prepaid price and any six percent (6%) discount available for payment by wire transfer or ACH. Any surcharge for an eligible credit-card transaction will be disclosed before authorization and imposed only as permitted by applicable law, payment-network rules, and AMT's merchant-services agreement.
Pricing is based on the stated itinerary, Patient condition, equipment, staffing, routing, schedule, weight, passengers, baggage, and anticipated charges. Unless stated otherwise, quotes expire fifteen (15) days after issuance; backhaul and empty-leg pricing is valid only for the stated date and conditions. Availability and pricing are not reserved until written confirmation and cleared payment.
Additional charges may include de-icing, medically required cabin-pressure arrangements, war-risk costs, customs and immigration fees, after-hours airport operations, crew-duty extensions, ground time over two (2) hours, permits, visas, governmental or Provider surcharges, weather avoidance, holding, air-traffic-control routing, parking, catering, hangar delays, repositioning, standby, deviations, diversions, taxes, currency conversion, bank fees, and other costs outside the quoted assumptions. A ten percent (10%) administrative fee applies to third-party pass-through costs unless the Transport Contract states otherwise.
AMT may re-quote a Trip when an itinerary, Patient condition, service, or other material assumption changes. Additional amounts are due within forty-eight (48) hours after notice or invoice, or earlier when reasonably required to continue the Trip.
6. Availability of Services
All services are offered worldwide subject to availability and remain contingent on aircraft and crew availability, medical acceptance and fit-to-fly confirmation, overflight and landing clearances, airport access, documentation, weather, safety, and other required approvals.
The Client certifies that all information and medical records provided are accurate, current, and complete. Changes to the Trip or Patient's condition may require different equipment, staffing, routing, or services and may result in additional charges.
AMT or a Provider may decline, postpone, modify, substitute, or cancel a Trip if clearance is denied or withdrawn, information is incomplete or inaccurate, the Patient's condition differs materially from the information provided, or safety, legal, or operational requirements are not met. The Client remains responsible for incurred, committed, and nonrefundable costs and applicable cancellation charges.
AMT may arrange substitute air, ground, or medical Providers when required by availability, safety, or operational needs.
7. Travel Risks, Times, Stops, and Diversions
The Patient, Client, authorized representative, and accompanying persons acknowledge the inherent risks of air and ground medical transportation, including delay, diversion, interruption, transfer, and inability to depart or arrive as planned.
Flight times, departure and arrival times, routing, aircraft, and stops are estimates and are not guaranteed. Trips may require fuel, technical, medical, or crew-change stops.
AMT is not liable for delay, diversion, substitution, interruption, failure to depart or arrive, or additional cost caused by circumstances beyond its reasonable control, including weather, natural disaster, war, terrorism, civil disorder, strikes, governmental action, sanctions, border or airspace restrictions, airport closure, operator insolvency, mechanical or technical events, public-health events, or similar causes.
The Pilot in Command, ground provider, and attending medical team retain final authority within their respective responsibilities. In an emergency, the aircraft or vehicle may divert and the Patient may be transferred to the nearest suitable facility or clinician. The Client is responsible for resulting costs and for continuation after a diversion or interruption.
AMT does not guarantee any transportation, medical, insurance, reimbursement, or other outcome.
8. Passengers, Baggage, and Restricted Items
Unless the Transport Contract states otherwise, one Patient and one companion passenger, each weighing no more than 250 pounds (113 kilograms), are permitted subject to Provider approval. Each passenger may bring one carry-on bag weighing up to 35 pounds (16 kilograms), not exceeding 45 linear inches (22 x 14 x 9 inches) or 113 linear centimeters (55 x 35 x 23 centimeters), plus one small personal item.
Companions and baggage require advance coordination. Final approval rests with the Provider and Pilot in Command based on safety, weight, balance, space, medical needs, and operations. Excess baggage may be refused, offloaded, or shipped separately at the Client's expense and without compensation.
Weapons, undeclared dangerous goods, hazardous materials, illegal substances, and other restricted items are prohibited.
9. Bed-to-Bed Transportation and Insurance
If the Transport Contract includes bed-to-bed transportation, ground transportation is included up to USD $500 per leg unless stated otherwise. The Client is responsible for any excess.
AMT may seek insurance reimbursement or assist with documentation but does not guarantee coverage, authorization, payment, or reimbursement. The Client remains responsible for charges except where non-waivable law provides otherwise. Insurance payments for ground transportation are nonrefundable except as required by law.
10. Cancellation
If a Trip is canceled by anyone other than AMT, the following applies:
(a) After acceptance and before the period in subsection (b), a refund may be issued at AMT's discretion, less the greater of USD $3,500 or ten percent (10%) of the flight price, plus costs incurred before cancellation.
(b) If canceled less than thirty-six (36) hours before Dispatch Time for a domestic Trip or less than seventy-two (72) hours before Dispatch Time for an international Trip, the Client will be charged fifty percent (50%) of the flight price plus costs incurred.
(c) Cancellation after the aircraft departs to position for the Trip, or failure to provide both oral and written cancellation notice with confirmed receipt by AMT, results in no refund.
(d) A Client-caused delay preventing dispatch or departure within two (2) hours of scheduled Dispatch Time is treated as a same-day cancellation.
Because aircraft, crews, vehicles, and medical resources are reserved and resulting losses are difficult to determine in advance, the cancellation charges are agreed liquidated damages and not a penalty. They are in addition to costs already incurred. Refunds exclude nonrefundable card, bank, and third-party fees to the extent permitted by law.
If a Trip cannot proceed because of Patient condition, Provider refusal, safety, documentation, governmental clearance, mechanical events, or circumstances beyond AMT's reasonable control, AMT will refund only amounts remaining unearned, uncommitted, unincurred, and refundable after reconciliation.
11. Payment Default and Enforcement
AMT may suspend or cancel a Trip without liability if required payment is not received by the deadline.
If an amount remains unpaid for more than thirty (30) days, AMT may invoice the Trip at the non-discounted rate stated in the Transport Contract or, if incorporated there, USD $30,000 base plus USD $180 per mile, less amounts paid. The Client is also responsible for lawful interest, collection costs, and reasonable attorneys' fees recoverable by contract or law, without limiting AMT's other remedies.
The Client should promptly contact AMT regarding a billing concern and allow a reasonable opportunity to investigate before initiating a payment dispute, except for suspected fraud, unauthorized use, or where delay could impair a legal right. A knowingly false or abusive chargeback is a material breach. Non-waivable payment-network and legal rights remain unaffected.
12. Transportation Indemnity and Limitation of Liability
To the maximum extent permitted by law, the Client will defend, indemnify, and hold harmless AMT and its affiliates, owners, officers, directors, employees, and agents from third-party claims, losses, liabilities, judgments, penalties, costs, and reasonable attorneys' fees arising from delay, diversion, failure to depart or arrive, or other circumstances beyond AMT's reasonable control, or from the Client's or an accompanying person's breach, misconduct, unlawful act, unauthorized instruction, prohibited item, or materially inaccurate, incomplete, or late information. This obligation does not apply to the extent caused by AMT's gross negligence or willful misconduct.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, INCLUDING FOR CLAIMS ALLEGING AMT'S OWN ORDINARY NEGLIGENCE, AMT AND ITS AFFILIATES, OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR SPECIAL, INDIRECT, INCIDENTAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATING TO A TRIP, TRANSPORT CONTRACT, OR AMT SERVICES.
AMT's aggregate liability for all claims arising from the same or related Trip will not exceed the amount actually paid to AMT for that Trip, and refund of that amount is the Client's sole and exclusive monetary remedy.
This limitation does not apply in cases of AMT’s gross negligence or willful misconduct. All air and ground operators, providers, crews, and medical teams are independent contractors, and AMT is not responsible for their acts or omissions.
C) GENERAL LEGAL TERMS
1. Electronic Transactions
Electronic acceptance, signatures, records, notices, and payment authorizations have the same effect as paper originals to the extent permitted by law. The Client must maintain current contact information and retain copies of the applicable Terms and Transport Contract.
2. Governing Law and Dispute Resolution
These Terms and each Transport Contract are governed by Texas law, without regard to conflict-of-law principles, except that the Federal Arbitration Act governs the arbitration agreement.
Before filing a claim, the complaining party must send written notice describing the dispute and requested resolution. The parties will allow at least thirty (30) days for good-faith negotiation and, if unresolved, will attempt mediation in Fort Bend County, Texas, remotely or in person as agreed.
Unless the Transport Contract states otherwise, an unresolved dispute will be decided by one arbitrator through the American Arbitration Association under the rules applicable to the transaction: Consumer Arbitration Rules for personal, family, or household services and Commercial Arbitration Rules for business disputes. Arbitration will proceed only on an individual basis; class, collective, consolidated, coordinated, and representative proceedings are waived to the maximum extent permitted by law. A consumer may opt out of arbitration by written notice within thirty (30) days after first accepting the Transport Contract. Eligible individual claims may be brought in small-claims court, and either party may seek temporary relief to preserve safety, confidential information, intellectual property, or the status quo.
Arbitration will be seated in Fort Bend County, Texas, subject to any consumer location or remote-participation right required by law or AAA rules. Costs will be allocated under applicable law and AAA rules. In a business dispute, the prevailing party may recover reasonable attorneys' fees, expert fees, and costs.
3. Entire Agreement, Changes, and Priority
For Website use, Part A and the Privacy Policy are the entire agreement concerning the Website. For a Trip, the accepted Transport Contract, expressly incorporated Trip documents, Part B, and Part C are the entire agreement and supersede prior or contemporaneous statements.
If documents conflict, the order is: (1) the accepted Transport Contract and signed amendments; (2) the quote or booking confirmation solely for stated Trip-specific services, itinerary, equipment, timing, and price; (3) Part B; (4) Part C; and (5) Part A.
A Trip-specific change must be in writing and signed or electronically accepted by the Client and an authorized AMT officer. AMT's delay or failure to enforce a provision is not a waiver.
4. Binding Effect, Assignment, and Survival
These Terms and each Transport Contract bind the parties and their permitted representatives, successors, and assigns. The Client may not assign a Trip or these Terms without AMT's written consent. AMT may assign its rights and obligations to an affiliate or successor as permitted by law.
Payment, intellectual property, indemnity, liability limitations, dispute resolution, and enforcement provisions survive completion, cancellation, or termination.
5. Mandatory Law, Severability, and Language
International Trips may be subject to foreign law, treaties, customs and immigration requirements, sanctions, and the operating carrier's applicable conditions of carriage. AMT may refuse, suspend, reroute, or cancel a Trip as necessary to comply with law. Mandatory law or an applicable international convention controls over a conflicting provision.
If a provision is invalid or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain effective.
Translations are provided for convenience. To the extent permitted by law, the English-language version controls if a translation conflicts with it.
